Waggl Terms of Service

1. Welcome

These Terms of Service (the “Terms”) form a binding agreement between you and S3 Innovations LLC (the “Operator,” “we,” “us”) and govern your use of the Waggl iOS app and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.

2. Eligibility

You must be at least 13 years old to create an account. If you are between 13 and the age of legal majority in your jurisdiction, you confirm that a parent or guardian has agreed to these Terms on your behalf.

3. Your account

• You’re responsible for keeping your account credentials secure.
• You’re responsible for all activity that happens under your account.
• Notify us at jsilverman@s3-innovations.com if you believe your account has been compromised.

4. What you can do with the Service

You may use Waggl to:

• Record voice-narrated inspections of your hives.
• Capture photos of your hives.
• Store and organize beekeeping records (apiaries, hives, queens, treatments, feedings, harvests).
• Share apiaries with other beekeepers under the roles we provide.
• Export your data in formats we make available.

5. What you can’t do

You agree not to:

• Use the Service to violate any law.
• Reverse-engineer, decompile, or attempt to derive the source code of the app, except where this restriction is prohibited by applicable law.
• Use the Service to harass, threaten, or impersonate other users.
• Attempt to disrupt the Service, scrape it, or overwhelm its capacity.
• Upload content that you don’t have the right to upload, or content that is unlawful, harmful, or infringes someone else’s rights.
• Use the Service to provide a competing product.
• Circumvent any access or use limits we apply.

6. Your content

“Your content” means everything you upload to or create in the Service: audio recordings, photos, notes, hive metadata, etc.

• You own your content. We don’t claim ownership.
• You give us a license to operate the Service. Specifically, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display your content solely for the purpose of operating, improving, and securing the Service for you (and for collaborators on shared apiaries, where you’ve granted them access).
• You’re responsible for your content and for making sure you have the rights to share it.

7. AI-extracted findings

Waggl uses third-party AI services (currently Anthropic’s Claude for extraction and Deepgram for transcription) to turn your voice narration into structured findings.

• AI extraction is assistive, not authoritative. It can be wrong, miss details, or misclassify what you said. You are responsible for reviewing AI output before relying on it for hive management decisions.
• We make no guarantee that AI output will be accurate, complete, or appropriate for any particular purpose.

8. Subscriptions and pricing

The TestFlight beta of Waggl is provided free of charge. We may introduce paid plans in the future and will give beta participants reasonable notice before doing so.

9. Apiary sharing

If you share an apiary with another beekeeper, you grant them the rights described in their assigned role (owner, full access / editor, mentor / reviewer, or view only). The owner of an apiary can change collaborator roles or remove collaborators at any time. Inspections remain attributed to the beekeeper who recorded them.

10. Beta release status

The Service is currently in beta and provided “as is.” Features may change without notice, data structures may evolve, and brief outages may occur. We may also reset beta data when promoting the app to general release; if we do, we’ll notify beta users beforehand and offer an export.

11. Service availability

We aim to keep the Service running, but we don’t guarantee uninterrupted availability. We may modify, suspend, or discontinue any part of the Service for maintenance, security, or business reasons.

12. Termination

You can stop using the Service at any time and delete your account from Settings.

We may suspend or terminate your access if you violate these Terms, if your usage poses a security or legal risk, or if we discontinue the Service. We’ll give you reasonable notice and an opportunity to export your data when feasible.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI-EXTRACTED FINDINGS WILL BE ACCURATE.

WAGGL IS NOT A REGULATED VETERINARY OR AGRICULTURAL ADVICE SERVICE. IT IS A NOTE-TAKING AND RECORD-KEEPING TOOL FOR BEEKEEPERS. DO NOT RELY ON IT AS A SUBSTITUTE FOR PROFESSIONAL ADVICE WHEN MAKING DECISIONS THAT AFFECT THE HEALTH OF YOUR COLONIES, YOUR PROPERTY, OR YOUR LIVELIHOOD.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, WHETHER OR NOT INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless the Operator, our officers, employees, and contractors from any claim or demand arising out of (a) your use of the Service in violation of these Terms, (b) your content, or (c) your violation of any law or third-party right.

16. Governing law and disputes

These Terms are governed by the laws of California, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Santa Clara, CA, and you and we consent to personal jurisdiction there.

17. Apple App Store additional terms

If you downloaded Waggl from the Apple App Store, the following additional terms apply:

• These Terms are between you and the Operator, not Apple. Apple is not responsible for the Service.
• Apple has no obligation to provide maintenance or support for Waggl.
• If Waggl fails to conform to any applicable warranty, you may notify Apple, who will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.
• The Operator (not Apple) is responsible for addressing any claim that Waggl or your use of it infringes a third party’s rights, fails to conform to legal requirements, or relates to product liability.
• Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

18. Changes to these Terms

We may update these Terms from time to time. We’ll notify you in the app of material changes and update the “Last updated” date. Continued use of the Service after changes take effect means you accept them.
